Terms of Use
Last updated October 19, 2026
These Terms of Use ("Terms") govern your use of AltsXO, including altsxo.com, 1031mart.com and related services (the "Platform"), operated by AltsXO ("AltsXO," "we," "us"). By creating an account or using the Platform, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Platform.
1. What AltsXO is, and isn't
AltsXO is an online listing platform. Sponsors of private investment offerings ("Sponsors") pay a flat fee to publish information about their offerings and to share documents in a data room. Investors browse those listings, review documents, ask questions and contact Sponsors.
AltsXO is not a broker-dealer, funding portal, investment adviser or exchange, and does not act as one. In particular, we:
- do not offer, sell, recommend or endorse any security, Sponsor or offering;
- do not give investment, legal, tax or accounting advice, and nothing on the Platform is a recommendation or a solicitation by us;
- do not receive any compensation based on whether an investment is made or how much capital a Sponsor raises;
- do not handle subscription agreements, accept or hold investor funds, or take custody of securities; and
- do not verify the accuracy of Sponsor information or anyone's accredited investor status.
Any investment happens directly between you and the Sponsor, under the Sponsor's offering documents.
2. Accounts and eligibility
You must be at least 18 and able to form a binding contract to use the Platform. You agree to give accurate information, keep it up to date, keep your password confidential, and tell us promptly at our contact page if you believe your account has been used without your permission. You are responsible for activity under your account. Accounts are personal; don't share them. If you register on behalf of a firm, you confirm you are authorized to bind it to these Terms.
3. Terms for investors
- Accredited investors only. Offerings on the Platform are made by Sponsors under Rule 506(c) of Regulation D and may be purchased only by accredited investors. Anyone may browse, but each Sponsor must take reasonable steps to verify your accredited status before accepting an investment. The accreditation information you give us is self-reported, is shared with Sponsors as described in our Privacy Policy, and is not verification.
- Your own decision. You are solely responsible for evaluating any offering, including reading the offering documents and consulting your own legal, tax and financial advisers. Indicating interest is not a commitment by you or the Sponsor.
- Risk. Private placements are speculative and illiquid. You may lose your entire investment. Target returns and past performance are not guarantees. 1031 exchange eligibility depends on your facts and on the Sponsor's structure; confirm it with your qualified intermediary and tax adviser.
- Sharing with Sponsors. When you open a Sponsor's data room, ask a question or indicate interest, that Sponsor can see your name, email and investor profile and, if you indicate interest, the phone number and note you provide. Sponsors may contact you about their offering.
4. Terms for sponsors
By listing an offering, you represent, and confirm each time you submit or update a listing, that:
- you are authorized to list the offering on behalf of the issuer and its sponsor;
- the offering is conducted in compliance with Rule 506(c) and all other applicable securities laws, including filing Form D and any required state notice filings, and you will take reasonable steps to verify that every purchaser is an accredited investor;
- all information and documents you provide are accurate, complete and not misleading, and you will update them promptly if that changes;
- you will not pay, and AltsXO will not receive, any compensation tied to capital raised or investments made, and you will not describe AltsXO as a placement agent, broker or adviser; and
- if you use a broker-dealer or other intermediary, you are responsible for that relationship and any related disclosures.
You remain solely responsible for your offering and for your communications with investors. We review listings for completeness before they go live, and we may decline, pause or remove any listing or document at our discretion, including if we believe it may be inaccurate, non-compliant or harmful. Our review is not an endorsement or a diligence review.
5. Listing fees and free access
Sponsors pay a flat monthly fee for each live listing, at the price shown on our pricing page when you subscribe. Fees are billed in advance through our payment processor, Stripe, and renew monthly until you cancel or close the offering. Fees are not refundable for partial months except where required by law. If a payment fails, the listing is paused until payment is made. We may change prices with at least 30 days' notice; changes apply from your next billing period.
We may offer complimentary listings or free access for a period, at our discretion. When a free period ends, live listings without a paid plan are paused until a plan is chosen. We may end or change a free-access arrangement with notice.
6. Data rooms and confidentiality
Data room documents belong to the Sponsor and are provided to you only to evaluate that offering. You agree to keep them confidential, not to forward, publish or sell them, and to use them for no other purpose. Documents may be watermarked as confidential, and Sponsors can see which documents you viewed and when. Before opening data rooms, investors accept our Investor Confidentiality Agreement, which each Sponsor may enforce directly. A Sponsor may also require you to accept its own NDA before you open its data room, and may set additional confidentiality terms in its documents.
7. Prohibited conduct
You agree not to: provide false information or impersonate anyone; scrape, copy or harvest data, listings or user information; remove or alter watermarks; probe, disrupt or try to bypass the Platform's security or access controls; use the Platform to send spam or unsolicited offers; post unlawful, fraudulent or misleading content; or use the Platform in violation of any law, including securities and anti-money-laundering laws.
8. Content and intellectual property
Sponsors keep ownership of the content and documents they upload, and grant us a non-exclusive, worldwide, royalty-free license to host, display, watermark and distribute that content on the Platform, and to show listing summaries in marketing for the Platform, while the listing is active and for a reasonable period after for records and backups. The Platform's software, design and trademarks belong to us or our licensors; these Terms don't give you any rights to them beyond using the Platform as intended.
9. Disclaimers
The Platform and all content on it are provided "as is" and "as available." Information about offerings comes from Sponsors, and we do not verify it. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Platform will be uninterrupted, secure or error-free.
10. Limitation of liability
To the fullest extent permitted by law, AltsXO and its owners, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any investment losses, lost profits or lost data, arising from or related to the Platform, any offering, or any dealings between investors and Sponsors. Our total liability for any claim relating to the Platform is limited to the greater of the fees you paid us in the 12 months before the claim or $100. Some jurisdictions don't allow certain limitations, so some of these may not apply to you.
11. Indemnification
You agree to defend, indemnify and hold harmless AltsXO and its owners, officers, employees and agents from claims, losses and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your content, your violation of these Terms or of law, and, for Sponsors, your offerings and your communications with investors.
12. Suspension and termination
You may stop using the Platform at any time and ask us to close your account through our contact page. We may suspend or close accounts and remove listings that violate these Terms or create risk for users or for us. Sections 6 and 8 through 13 survive termination.
13. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in California, and you consent to their jurisdiction. Before filing a claim, you agree to contact us and try to resolve the dispute informally for at least 30 days.
14. Changes to these Terms
We may update these Terms. If a change is material, we will notify you by email or on the Platform before it takes effect. Continuing to use the Platform after a change takes effect means you accept the updated Terms.
